These Terms and Conditions govern your access to and use of Jam45, including its music marketplace, artist merchandise marketplace, artist tools, previews, accounts, purchases, downloads, shipping, messaging, and related services.
1. Acceptance and eligibility
By visiting, creating an account, uploading content, purchasing a release, or otherwise using Jam45, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
The service is not directed to children under 13. Users between 13 and the age of legal majority where they live may use the service only with permission and supervision from a parent or legal guardian. Artist accounts, payment accounts, and payout enrollment require a person who is at least 18 years old or otherwise legally able to enter a binding contract.
2. Accounts and security
You must provide accurate information, keep it current, protect your password and login session, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account unless prohibited by law.
Do not impersonate another person, create deceptive accounts, transfer an account without permission, or attempt to bypass account, payment, preview, download, security, or access controls.
3. Marketplace roles
Jam45 provides technology that helps independent artists display, preview, promote, license, and sell digital music, related digital content, and approved physical artist merchandise to listeners. Artists remain responsible for their releases and merchandise, descriptions, pricing, rights, inventory, packaging, shipping, taxes, and promises to customers.
We may facilitate checkout, order records, digital delivery, physical-order routing, fees, commissions, refunds, disputes, and artist payouts through third-party payment providers. We are not a record label, publisher, manager, legal representative, or exclusive agent of any artist unless a separate written agreement expressly says otherwise.
4. Purchases, downloads, shipping, and refunds
Digital license
A purchase gives the buyer a personal, non-exclusive, non-transferable license to download and enjoy the purchased files for lawful personal use. A purchase does not transfer copyright, publishing rights, master ownership, trademark rights, synchronization rights, public-performance rights, resale rights, or permission to upload or distribute the files elsewhere.
Payments and taxes
Prices are displayed before checkout. You authorize us and our payment providers to charge the selected payment method for the order total, including applicable taxes or fees. Payment providers may apply their own terms, identity checks, fraud controls, and privacy practices.
Digital-delivery policy
Because digital products can be accessed immediately, completed digital purchases are generally final. We may provide a refund, replacement file, account credit, or other remedy when required by law or when there is a duplicate charge, an unauthorized transaction, a materially defective file, or a verified delivery failure that we cannot correct. Contact support@jam45.com with the order number and a description of the issue.
Physical merchandise, shipping, and returns
Physical merchandise is sold and fulfilled by the artist identified on the product and order. During Merch Phase 1, participating merchandise listings are limited to United States shipping addresses unless the listing or checkout expressly states otherwise. Shipping charges, available stock, sizes, colors, and other item details are shown before purchase. Delivery dates are estimates rather than guarantees.
Artists must package and ship paid merchandise orders, provide accurate tracking information when available, and cooperate with reasonable order, damage, loss, return, refund, chargeback, and dispute requests. Buyers should inspect merchandise promptly and contact support@jam45.com with the order number and supporting details when an item is missing, damaged, materially different from its listing, or otherwise requires assistance. Any remedy remains subject to the listing, applicable law, payment-provider rules, and the circumstances of the order.
Previews and availability
Previews may be shortened, watermarked, transcoded, limited, or otherwise protected. Releases may be updated or removed because of rights disputes, artist decisions, technical issues, or legal requirements. Removing a listing does not automatically revoke a buyer's lawful rights in a file already purchased, but continued cloud availability is not guaranteed. Buyers should keep a lawful backup of purchased downloads.
5. Artist responsibilities, commissions, and payouts
By uploading or listing content, an artist represents and warrants that the artist owns or controls all rights needed to use, reproduce, host, stream, preview, advertise, distribute, license, and sell the content through Jam45. This includes the sound recording, composition, samples, artwork, photographs, names, logos, credits, metadata, and permissions from collaborators.
Artists must not upload infringing, stolen, fraudulent, misleading, unlawful, defamatory, hateful, exploitative, malware-containing, or privacy-violating material. Artists are responsible for accurate titles, credits, explicit-content labels, release information, merchandise descriptions, stock, options, pricing, shipping charges, tax information, payout information, and customer-facing claims.
Physical merchandise fulfillment
An artist listing physical merchandise must have the legal right to sell the item and use every included name, logo, image, design, recording, composition, trademark, and other protected element. The artist must maintain accurate stock, protect buyer shipping information, use it only to fulfill or support the applicable order, ship within a reasonable time, enter truthful carrier and tracking details, and retain records reasonably needed for refunds, disputes, taxes, and legal compliance.
Cover songs and proof of licensing
If a release contains a new recording of a song written or controlled by someone else, the artist must identify it as a cover song and obtain every license or written permission required before listing or selling it on Jam45. For an audio-only digital download in the United States, this commonly includes an appropriate mechanical license from the copyright owner, publisher, or a legitimate licensing service such as Easy Song or The Harry Fox Agency's Songfile service. Artists may use another lawful licensing source when it provides the rights required for the release.
The artist must upload a readable license certificate, license PDF, or other written proof of authorization through the release form. The documentation must accurately identify the composition and cover the applicable format, territory, quantity or download authorization, and other relevant restrictions. The artist is responsible for renewing, expanding, or replacing the license when sales, territories, formats, or license terms require it.
A standard cover-song mechanical license may not authorize samples, remixes, mashups, lyric changes, translations, substantial arrangement changes, synchronization with video, use of the original master recording, or other derivative uses. Those uses may require additional direct permission. Jam45 may hold, reject, suspend, or remove a release when proof is missing, incomplete, expired, inconsistent, or reasonably disputed. Reviewing or storing a document does not make Jam45 responsible for its validity or the artist's compliance.
Marketplace commissions, processing fees, payout timing, minimum payout amounts, reserves, chargebacks, reversals, and any additional artist terms will be displayed in the artist dashboard, checkout flow, settings, or a separate artist agreement. We may change fees prospectively after reasonable notice. Artists authorize us and our payment providers to deduct applicable fees, refunds, disputes, chargebacks, taxes, and legally required withholding from amounts otherwise payable.
6. Content and intellectual property
Your ownership
Artists retain ownership of content they upload. To operate and promote the marketplace, each artist grants Jam45 a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transcode, display, publicly perform protected previews, create technical derivatives, distribute purchased files, and use artist names, release titles, artwork, and excerpts for marketplace operation and promotion. This license lasts while the content is available and for a reasonable period afterward for backups, completed orders, legal compliance, and records.
Jam45 materials
The Jam45 name, logos, interface, software, design, text, graphics, compilation, and other platform materials are owned by or licensed to us and may not be copied, reverse engineered, scraped, resold, or used to create a confusingly similar service except as permitted by law.
Copyright complaints
Send copyright or other rights complaints to support@jam45.com. Include your contact information, identification of the protected work, identification and location of the disputed material, a good-faith statement, a statement that the information is accurate and that you are authorized to act, and your physical or electronic signature. We may remove or restrict material while reviewing a complaint and may terminate repeat infringers.
7. Prohibited conduct
You may not:
- infringe intellectual-property, privacy, publicity, contractual, or other rights;
- upload malware, malicious code, corrupted files, or content intended to damage devices or accounts;
- circumvent previews, payment requirements, download restrictions, rate limits, authentication, Turnstile, or other safeguards;
- scrape, harvest, index, mirror, or bulk-download the service without written permission;
- manipulate plays, purchases, reviews, followers, charts, payouts, referrals, or engagement;
- use stolen payment methods, commit fraud, launder money, evade sanctions, or facilitate unlawful transactions;
- harass, threaten, exploit, discriminate against, or deceive users, artists, staff, or the public;
- use the service in a manner that overloads, disrupts, probes, or compromises the platform or another user's account.
8. Moderation, suspension, and termination
We may review, refuse, limit, unpublish, remove, or preserve content; delay or reverse transactions; hold payouts; and suspend or terminate accounts when reasonably necessary to enforce these Terms, protect users, respond to disputes, prevent fraud, comply with law or payment-provider rules, or protect the service. When practical, we will provide notice and an opportunity to contact support.
You may stop using the service at any time. Terms that logically should survive termination—including payment obligations, licenses needed for completed orders and records, ownership provisions, disclaimers, limitations, and dispute provisions—will survive.
9. Disclaimers and limitation of liability
To the fullest extent permitted by law, the service is provided “as is” and “as available.” We do not guarantee uninterrupted operation, permanent storage, error-free files, a particular level of sales, audience growth, search placement, compatibility, or the conduct, identity, ownership claims, or performance of any user or artist.
To the fullest extent permitted by law, Jam45 and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, data, goodwill, or opportunities; or unauthorized access, third-party content, or third-party services.
To the fullest extent permitted by law, our aggregate liability for claims arising from the service will not exceed the greater of (a) the amount you paid directly to Jam45 during the six months before the event giving rise to the claim or (b) US $100. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Jam45 and its owners, officers, employees, and contractors from third-party claims, losses, liabilities, and reasonable costs arising from your content, your use of the service, your breach of these Terms, or your violation of another person's rights. We will provide reasonable notice of a covered claim and may control the defense.
11. General terms
Changes
We may update these Terms as the marketplace evolves. The updated date will appear at the top. Material changes may also be communicated through the website, dashboard, or email. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
Governing law and venue
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules. Before filing a claim, the parties will make a good-faith effort to resolve the matter informally by contacting support. Subject to applicable consumer-protection law, disputes that cannot be resolved informally will be brought in a state or federal court with jurisdiction in Michigan.
Entire agreement and severability
These Terms, the Privacy Policy, applicable artist or payment terms, and any expressly incorporated policies form the agreement between you and us regarding the service. If a provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver.
