These Terms and Conditions govern access to and use of Jam45, including Jam45.com, the Jam45 Android app, free and paid listener accounts, artist and label tools, music previews, subscription-eligible full-song streams, distributor-delivered catalog, purchases, downloads, messaging, notifications, and related services operated by Jam45 LLC (collectively, the “Service”).
1. Acceptance and eligibility
By visiting Jam45, creating an account, uploading content, connecting a payout account, purchasing or downloading music, or otherwise using the Service, you agree to these Terms and our Política de Privacidade. If you do not agree, do not use the Service.
The Android app is intended for adults age 18 and older and may display artist-provided content marked explicit. Artist, label, payment, and payout accounts must be controlled by a person who is at least 18 years old or otherwise legally able to enter a binding contract. The Service is not directed to children.
2. Accounts and security
You must provide accurate information, keep it current, protect your password and login session, and promptly notify Jam45 of suspected unauthorized access. You may not impersonate another person, create deceptive accounts, transfer an account without permission, or bypass authentication, payment, preview, download, anti-abuse, or security controls.
Jam45 may use email verification, Cloudflare Turnstile, device authorization, and similar safeguards to protect accounts and the marketplace.
3. Listener, artist, and label roles
Jam45 combines a direct digital music marketplace with listener streaming features. A free Jam45 listener account may browse and hear protected previews of eligible catalog. An active paid Jam45 Listener membership may unlock complete on-demand playback of tracks that are designated and licensed for Full Song streaming, subject to rights, territory, availability, and partner controls. A listener who directly purchases eligible music through Jam45 retains the purchase and its authorized full-playback/download rights without needing an active Listener membership, subject to these Terms and the purchase license.
Artists remain responsible for their music, artwork, metadata, prices, rights, tax information, payout information, and customer-facing claims. Jam45 is not a record label, publisher, manager, legal representative, or exclusive agent of an artist unless a separate written agreement expressly says otherwise.
Label accounts may use Jam45’s label tools only for artists and catalog they are authorized to represent. A roster invitation, label association, or catalog-transfer tool does not by itself transfer copyright, master ownership, publishing rights, an artist’s user account, or historical earnings. Any transfer of business rights between an artist and label remains subject to their own agreement and applicable law.
4. Purchases, previews, Listener full-song streams, downloads, and the Android app
Digital license
A completed digital purchase gives the buyer a personal, non-exclusive, non-transferable license to download and enjoy the purchased files for lawful personal use. It does not transfer copyright, publishing rights, master ownership, trademark rights, synchronization rights, public-performance rights, resale rights, or permission to redistribute the files.
Listener access tiers
Free access: free listener accounts receive preview playback for subscription catalog unless a separate ownership or authorized-access exception applies. Paid Jam45 Listener: while a paid monthly or annual membership is active, the listener may receive Full Song playback for subscription-eligible tracks made available to that tier. Membership does not transfer ownership of music and does not create a permanent download right to subscription catalog.
Catalog availability can differ by territory, rights window, distributor or rights-holder instruction, release status, and technical availability. Jam45 may add, remove, limit, or change subscription-eligible catalog when required by rights or partner obligations.
Website purchases and app playback
Purchases are completed through Jam45.com and its payment providers. The Android app is designed primarily for discovery, preview playback, entitlement-controlled Full Song playback, Jam45 library playback, downloads of owned music, playlists, notifications, and on-device music playback. The app may display informational text telling a listener that a streamed release can be purchased on Jam45.com, but the app does not itself process the Jam45 purchase transaction.
Artist-selected playback
For eligible direct-upload tracks, an artist or authorized label may choose Preview Only or Full Song. Preview Only uses Jam45’s protected preview. Full Song authorizes Jam45 to make the complete track eligible for on-demand listening through Jam45-operated website and app experiences when the listener has the required entitlement, such as an active Jam45 Listener membership, a qualifying purchase, ownership/management access, or another Jam45-authorized exception. Selecting Full Song may make the track eligible for Jam45 discovery, playlist, promotional, or featured placement, including in the Jam45 Android app, but no particular placement, audience, number of plays, or result is guaranteed.
Full-song streaming does not make the protected purchased master a free download. Jam45 may use expiring or controlled streaming URLs and other technical safeguards, but no streaming technology can guarantee that listeners will be unable to record or capture audio during playback.
Payments and taxes
Prices and applicable charges are shown before website checkout. You authorize Jam45 and its payment providers to charge the selected payment method for the order total, including applicable taxes or fees. Payment providers may apply their own terms, verification, fraud controls, and privacy practices.
Refunds and availability
Because digital products can be accessed immediately, completed digital purchases are generally final except where required by law or where Jam45 determines that a duplicate charge, unauthorized transaction, materially defective file, or verified delivery failure warrants a remedy. Contact support@jam45.com with the order number and issue details.
Previews may be shortened, transcoded, limited, or otherwise protected. Artist-authorized full-song streams may use protected, expiring, signed, transcoded, or otherwise controlled delivery. Releases or streaming availability may be updated or removed because of rights disputes, artist decisions, technical issues, or legal requirements. Continued cloud availability is not guaranteed, so buyers should keep lawful backups of purchased downloads.
5. Artist and label responsibilities; cover songs
Anyone uploading or managing content represents and warrants that they own or control all rights needed for every Jam45 use they select or authorize, including hosting, reproduction, transcoding, previewing, on-demand streaming, public performance or digital transmission, advertising, display, distribution, licensing, and sale. This includes all rights needed in the sound recording and the underlying musical composition, plus any samples, beats, artwork, photographs, names, logos, credits, metadata, performer rights, collaborator permissions, and other material included with the release.
If an uploader is subject to a songwriter, publisher, performance-rights organization (PRO), mechanical-rights organization (MRO), collective-management organization (CMO), label, distributor, producer, union, guild, collaborator, or other third-party agreement, the uploader is responsible for determining whether that agreement permits the Jam45 rights being granted, providing any required notice, obtaining any required consent, and paying any third-party amounts for which the uploader is responsible. An uploader must not select Full Song when they lack authority to grant Jam45 the required on-demand streaming and public-performance rights.
If a release contains a new recording of a composition controlled by someone else, the artist must identify it as a cover song and obtain every license or written permission required before listing or selling it. Jam45 may require readable proof of licensing and may hold, reject, suspend, or remove a release when documentation is missing, expired, inconsistent, or reasonably disputed. Reviewing or storing documentation does not make Jam45 responsible for its validity.
Jam45’s normal cover-song documentation workflow does not by itself establish that a cover is cleared for full on-demand streaming. Unless Jam45 separately approves adequate full-stream rights documentation, a release identified as a cover song is limited to Preview Only.
6. Marketplace commissions, payouts, and support payments
Marketplace commissions, promotional commission rates, processing charges, payout timing, reserves, chargebacks, reversals, and other artist or label financial terms are shown in the applicable pricing page, dashboard, checkout flow, onboarding flow, or separate agreement. Jam45 may change future rates after reasonable notice.
Artist payouts are processed through supported third-party payment providers, including Stripe where enabled. Artists and labels are responsible for maintaining accurate payout and tax information and for satisfying any verification requirements imposed by the payment provider.
Any “Support This Artist” or similar voluntary support feature is a commercial support payment, not a charitable donation, unless Jam45 expressly states otherwise.
7. Content and intellectual property
Artists retain ownership of content they upload. To operate and promote Jam45, each uploader grants Jam45 and the service providers acting on Jam45’s behalf a worldwide, non-exclusive, royalty-free license to host, store, reproduce, copy, cache, transcode, transmit, stream, publicly perform by digital audio transmission, make available, display, and create technical derivatives of the uploaded content; to distribute purchased files to authorized buyers; and to use artist names, release titles, artwork, metadata, and excerpts as reasonably necessary to operate, secure, market, and promote the Service. For a track for which the uploader selects Full Song, this license expressly includes on-demand streaming and public performance of the complete sound recording and the musical work embodied in that recording through Jam45-operated services. This license does not transfer ownership of the underlying copyrights.
Direct-upload playback; no per-stream royalty from Jam45. For content uploaded directly by an artist or label and licensed to Jam45 under these Terms, except for sale proceeds, support payments, or other compensation that Jam45 expressly agrees to pay under a separate feature or written agreement, Jam45 does not pay the uploader a per-stream royalty merely because an authorized preview or Full Song is hosted, streamed, transmitted, publicly performed, promoted, or featured through the Service. To the extent the uploader may lawfully do so, the uploader represents that Jam45’s exercise of the rights granted in these Terms will not require Jam45 to pay the uploader or a third party a master-use, record, publishing, mechanical, public-performance, neighboring-rights, union, guild, collective-management, license, or similar fee solely for those authorized Jam45 uses. The uploader remains responsible for permissions, notices, accounting, and third-party payments that are the uploader’s responsibility under law or contract.
The preceding direct-upload compensation paragraph does not establish the royalty, reporting, or settlement terms for catalog delivered by a distributor, record company, rights administrator, or other commercial content partner. Distributor-delivered catalog is governed by the applicable partner agreement, rights data, reporting requirements, and settlement terms between Jam45 and that partner.
Distributor-delivered catalog
Jam45 may receive sound recordings, artwork, metadata, identifiers, territory rules, rights windows, updates, and takedowns from approved distribution or content partners. Free listeners may receive previews of eligible distributor-delivered catalog. Paid Jam45 Listener members may receive Full Song playback of subscription-eligible distributor catalog while their membership is active and while the applicable rights and territory permissions remain in force.
Jam45 may record qualified usage and related service-tier, territory, release, recording, and timestamp data for distributor reporting, rights administration, fraud prevention, and contractual settlement. Jam45 may provide agreed usage and financial reports and settlement to the applicable distributor or partner. Any downstream accounting or payment from that distributor or partner to its artists, labels, songwriters, publishers, or other rightsholders is governed by their separate agreements and applicable law. Jam45 does not promise a fixed public per-stream rate for distributor-delivered catalog unless Jam45 expressly publishes or agrees to one.
Nothing in these Terms waives a payment or right that applicable law makes non-waivable or imposes directly on Jam45 regardless of contract. If an uploader cannot lawfully grant a requested right without creating an obligation Jam45 has not expressly accepted, the uploader must not upload the affected content or enable the affected playback option and should contact Jam45 before proceeding.
The Jam45 name, logos, interface, software, design, text, graphics, and other platform materials are owned by or licensed to Jam45 and may not be copied, reverse engineered, scraped, resold, or used to create a confusingly similar service except as permitted by law.
Copyright or other rights complaints may be sent to support@jam45.com. Jam45 may remove or restrict disputed material while reviewing a complaint and may terminate repeat infringers.
8. Messaging, follows, playlists, and notifications
Jam45 may provide private messages, artist announcements, follows, favorites, playlists, release alerts, push notifications, and similar community or library features. Users are responsible for lawful and respectful use of these features. Jam45 may limit or remove abusive, fraudulent, harassing, infringing, or unsafe content or activity.
9. Account deletion and retained records
Eligible listener accounts may use Jam45’s self-service deletion process at https://jam45.com/login/?jam45_auth=delete. Deleting a listener account removes the account and associated service data that Jam45 no longer needs. Account-linked cloud library access, playlists, favorites, follows, notification registrations, and similar account features may no longer be available after deletion, so users should retain lawful copies of purchased downloads they wish to keep.
Artist and label deletion requests may require administrator review because catalog ownership, release records, payouts, refunds, chargebacks, tax records, or other business obligations may need to be resolved before an account can be removed.
Jam45 may retain or de-identify purchase and order records, payment or payout records, tax and accounting records, refund and chargeback records, fraud-prevention and security records, catalog-ownership records, and other information when retention is required or reasonably necessary for legal, financial, security, dispute, or rights-management obligations.
10. Prohibited conduct
- Do not infringe intellectual-property, privacy, publicity, contractual, or other rights.
- Do not upload malware, malicious code, corrupted files, or content intended to damage devices, accounts, or the Service.
- Do not circumvent previews, payment requirements, download restrictions, authentication, rate limits, Turnstile, or other safeguards.
- Do not scrape, harvest, mirror, or bulk-download the Service without written permission.
- Do not manipulate plays, purchases, reviews, followers, charts, payouts, referrals, or engagement.
- Do not use stolen payment methods, commit fraud, launder money, evade sanctions, harass users, or interfere with the operation or security of the Service.
11. Moderation, suspension, and termination
Jam45 may review, refuse, limit, unpublish, remove, or preserve content; delay or reverse transactions; hold payouts; and suspend or terminate accounts when reasonably necessary to enforce these Terms, protect users, respond to disputes, prevent fraud, comply with law or payment-provider rules, or protect the Service.
12. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Jam45 does not guarantee uninterrupted operation, permanent storage, error-free files, a particular level of sales or audience growth, compatibility with every device, or the conduct, identity, ownership claims, or performance of any user or artist.
To the fullest extent permitted by law, Jam45 and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, data, goodwill, or opportunities; or losses caused by unauthorized access, third-party content, or third-party services.
To the fullest extent permitted by law, Jam45’s aggregate liability for claims arising from the Service will not exceed the greater of (a) the amount you paid directly to Jam45 during the six months before the event giving rise to the claim or (b) US $100. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Jam45 and its owners, officers, employees, and contractors from third-party claims, losses, liabilities, and reasonable costs arising from your content, your use of the Service, your breach of these Terms, or your violation of another person’s rights.
14. General terms
Jam45 may update these Terms as the Service evolves. The updated date will appear at the top, and material changes may also be communicated through the website, app, dashboard, or email. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules. Before filing a claim, the parties will make a good-faith effort to resolve the matter informally through support. Subject to applicable consumer-protection law, unresolved disputes will be brought in a state or federal court with jurisdiction in Michigan.
These Terms, the Privacy Policy, applicable artist or label terms, payment-provider terms, and any expressly incorporated policies form the agreement between you and Jam45 regarding the Service. If a provision is unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue in effect.
